IMPORTANT E-SIGN NOTICE - CONSENT TO ELECTRONIC RECORD

Please review the following Terms and Conditions below: E-SIGN, the Electronic Signatures in Global and National Commerce Act (15 U.S.C. § 7001, et seq.), requires that you consent to entering into an electronic agreement with Mannatech, Incorporated (“Mannatech”) before the following agreement can be executed. Please read the following information carefully.

Should you enter into this online electronic Independent Associate Agreement (“Agreement”) with Mannatech, you will not be required to submit a paper application. The entire agreement between you and Mannatech will be evidenced by an electronic record. To enter into the Agreement, you must also consent to the use of an electronic record and agree to the terms of Mannatech's Associate Application and Terms & Conditions, Policies and Procedures and Mannatech's Compensation Plan.

You may withdraw your consent to the use of electronic records at any time. However, if you do so, your enrollment will be terminated and your Agreement will not be processed. If you withdraw your consent to the use of electronic records, you may still enroll using paper or hardcopy forms. After completing the online enrollment process if you wish to withdraw your consent to the exclusive use of an electronic agreement (and thereby terminate your agreement with Mannatech) at a later date, or update any personal information, you may do so by sending written notice to custserv@mannatech.com or to Mannatech, 1410 Lakeside Parkway, Suite 200, Flower Mound, Texas 75028, ATTN: Customer Service.

You understand that as an Associate you are an independent contractor and not an employee, agent partner legal representative or franchisee of Mannatech. You agree that you are solely responsible for paying all expenses related to your business, YOU UNDERSTAND THAT YOU WILL BE TREATED AS AN INDEPENDENT CONTRACTOR OF MANNATECH FOR ALL PURPOSES.

By completing this online electronic agreement with Mannatech, you agree to comply with all laws, ordinances and regulations and understand that Mannatech may in its sole discretion, amend the Agreement, including the Policies and Procedures and Compensation Plan. Notification of amendments shall be published on mannatech.com or in other Company communications. Amendments shall become effective 21 days after publication, but no amendments shall apply retroactively to conduct that occurred prior to the effective date of the amendment. The continuation of your Associate account or your receipt of bonuses or commissions subsequent to the effective date of any amendment shall constitute your acceptance of any amendments or changes.

To the extent permitted by law, Mannatech, its directors, officers, shareholders, employees, assigns and agents (collectively referred to as “affiliates”) shall not be liable for, and you release the Mannatech and its affiliates from and waive, all claims for any loss of profits, indirect, direct, special or consequential damages or any other loss incurred or suffered by me as a result of:
(a) my breach of this Agreement;
(b) the promotion or operation of my Associate business; and/or
(c) any incorrect or wrong data or information provided by me.
You agree that the entire liability of the Company and its affiliates for any reason whatsoever related to the relationship between you and Mannatech, including, but not limited to, any cause of action in contract, tort or equity, shall not exceed and shall be limited to the value of the products you have purchased from Mannaech under this Agreement or any other agreement that are in resalable condition.

This Agreement will be governed by and construed in accordance with the laws of the State of Texas. AS SET FORTH MORE FULLY IN THE ASSOCIATE POLICIES AND PROCEDURES, ALL DISPUTES AND CLAIMS RELATING TO THE AGREEMENT, THE COMPANY, THE APPLICATION OR ITS PRODUCTS AND SERVICES, THE RIGHTS AND OBLIGATIONS OF AN INDEPENDENT ASSOCIATE OR THE COMPANY UNDER THE AGREEMENT SHALL BE SETTLED TOTALLY AND FINALLY BY BINDING INDIVIDUAL ARBITRATION BEFORE A SINGLE ARBITRATOR IN DALLAS, TEXAS, OR SUCH OTHER LOCATION AS THE PARTIES MAY MUTUALLY AGREE, IN ACCORDANCE WITH THE FEDERAL ARBITRATION ACT AND THE COMMERCIAL ARBITRATION RULES OF THE AMERICAN ARBITRATION ASSOCIATION. BY AGREEING TO ARBITRATE, THE PARTIES EXPRESSLY WAIVE THEIR RESPECTIVE RIGHTS TO A TRIAL BY JURY. THIS AGREEMENT TO ARBITRATE SHALL SURVIVE ANY TERMINATION OR EXPIRATION OF THE AGREEMENT

Notwithstanding Mannatech and the Associate’s agreement to arbitrate, either party may bring an action in a state or federal court located in Dallas, Texas to obtain a restraining order, temporary or permanent injunction, or other equitable relief to the extent such relief is not available to either party in arbitration. Mannatech and Associate (the “Parties”) agree that the state and federal courts in Dallas, Texas shall be the sole and exclusive venue and forum for any lawsuit or court proceeding between the Parties and each party consents to personal jurisdiction in such courts and waives any objections to venue, jurisdiction or and forum that might otherwise be available to either party.



Should you wish to obtain a paper copy of the current Associate Agreement, you may download and print a PDF (Portable Document Format) version from Mannatech's web site. If you wish to obtain a copy of the version in effect at the time of your enrollment, any version since the date of your enrollment, or your specific application information send a written request to Mannatech, 1410 Lakeside Parkway, Suite 200, Flower Mound, Texas 75028, ATTN: Customer Service. Your request must include your name, your account number, your mailing address, and your E-mail address. Upon receipt of such a request, Mannatech will mail you the information. If you are requesting a particular version of a document, please be certain to specify the date of the version that you wish to receive. There is no charge for this service at this time. The most current version of the Policies and Procedures and Mannatech’s Compensation Plan are always available at Mannatech’s official web site for viewing, printing and downloading at www.mannatech.com

By checking the “I agree to the terms of the Agreement” checkbox below you (i) acknowledge that you have read and agree to the terms of the Agreement including the Policies and Procedures and Compensation Plan; (ii) certify that all information provided to Mannatech in connection with this Agreement is true and correct and (iii) by clicking below you intend to enter into a legally binding agreement with Mannatech, Inc.
